Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the websites, client portal, chat assistant, content and related online tools operated by The Ninjaz Group (the “Site”). By using the Site, you agree to these Terms. If you are using the Site on behalf of an organisation, you confirm you are authorised to bind it, and “you” refers to that organisation.

How these Terms relate to client agreements

Our Managed Transformation Services, Managed Link and Managed Business Operations are delivered under a signed Master Services Agreement (“MSA”), one or more Statements of Work or Order Forms, and a Data Processing Addendum (together, the “Client Agreement”). If anything in these Terms conflicts with a Client Agreement, the Client Agreement controls.

Nothing on the Site is an offer capable of acceptance. Descriptions of Services, modules, timelines and outcomes are general information; the scope, deliverables, fees and service levels for any engagement are those set out in the Client Agreement.

Eligibility and accounts

The Site is intended for business use by people aged 18 or over. Portal accounts are issued by us or by your organisation’s administrator. You are responsible for keeping your credentials confidential, for all activity under your account, and for telling us promptly at security@ninjazgroup.com if you suspect unauthorised access.

We may suspend or disable an account to protect the Site, our clients or third parties, or where these Terms or the Acceptable Use Policy are breached.

Permitted use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Site for your internal business purposes — evaluating our Services, collaborating on an engagement, and accessing the information we make available to you.

Your use must comply with our Acceptable Use Policy, which forms part of these Terms.

Your content and data

You retain all rights in the information, files, messages and data you submit to the Site (“Your Content”). You grant us a limited licence to host, copy, process and display Your Content only as needed to operate the Site, respond to you and deliver the Services.

You confirm you have the rights and any necessary consents or notices to share Your Content with us, and that it does not infringe anyone’s rights or violate any law.

Client data processed in the course of an engagement is governed by the Client Agreement and Data Processing Addendum, not by this section.

Our intellectual property

The Site, the Ninjaz Operating Platform, Managed Link, our methods, Blueprint frameworks, software, designs, text, graphics, logos and trademarks are owned by us or our licensors and are protected by intellectual property laws. Except for the limited right above, no rights are granted to you.

Ownership of deliverables, custom code and pre-existing materials used in an engagement is set out in the Client Agreement.

If you send us feedback or suggestions, we may use them without restriction or obligation to you.

Chat assistant and AI-generated content

Our chat assistant generates responses automatically from our published content using AI models. Responses may be incomplete or inaccurate and do not constitute professional, legal, financial or technical advice, a quotation, or a commitment from us. Pricing, scope and commitments are only binding when set out in a signed Client Agreement.

Do not submit confidential, sensitive or regulated information through the chat assistant.

Third-party systems and links

The Services and the Site may connect to, or link to, third-party systems — such as DMS, CRM, finance, telephony and messaging platforms — that we do not own or control. Your use of those systems is governed by your agreements with their providers. We are not responsible for their availability, security, content or practices, except as expressly provided in a Client Agreement.

Confidentiality

Non-public information either party shares through the Site in connection with a prospective or active engagement will be treated as confidential and used only for that purpose, unless a separate non-disclosure agreement or Client Agreement applies, in which case that agreement controls.

Disclaimers

Except as expressly stated in a Client Agreement, the Site and all content are provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement, and any warranty that the Site will be uninterrupted, error-free or free of harmful components.

Case studies, figures and examples on the Site describe specific engagements and are illustrative. Results vary with each operation and are not guaranteed.

Limitation of liability

To the fullest extent permitted by law, neither party will be liable to the other under these Terms for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data, however caused. Our total liability arising out of or relating to the Site under these Terms will not exceed one hundred U.S. dollars (US$100).

These limits do not apply to liability that cannot be limited by law, and they do not modify the liability provisions of any Client Agreement.

Indemnity

You will defend and indemnify us against third-party claims arising from Your Content or your breach of these Terms or the Acceptable Use Policy, and pay resulting losses and reasonable costs, provided we notify you promptly and allow you to control the defence.

Suspension and termination

You may stop using the Site at any time. We may suspend or end your access to all or part of the Site if you breach these Terms, if required by law, or to protect the Site or others. Sections that by their nature should survive — including intellectual property, confidentiality, disclaimers, limitation of liability, indemnity and governing law — survive termination.

Third-party trademarks

All product names, logos and brands referenced on this site (including Salesforce, HubSpot, DealerSocket, CDK Global, Reynolds & Reynolds, Google, Microsoft, Meta, Stripe, QuickBooks and others) are trademarks or registered trademarks of their respective owners. They are used for identification purposes only. Dojo360 and The Ninjaz Group are not affiliated with, endorsed by or sponsored by these companies unless expressly stated.

Logos are shown only to identify the products our platform connects to and are loaded from each owner’s publicly available site assets. Their use does not imply endorsement, sponsorship or partnership. See our Trademark Notice for details or to request removal.

Export control and sanctions

You may not use the Site or Services in violation of applicable export-control or sanctions laws, including those of the United States, the United Nations, the European Union, the United Kingdom, Singapore, Saudi Arabia, the United Arab Emirates and India. You confirm you are not a sanctioned person or acting on behalf of one.

Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Teton County, Wyoming, except that either party may seek injunctive relief in any competent court to protect its intellectual property or confidential information. The dispute-resolution terms of a Client Agreement control for any dispute under it.

General

These Terms, together with the Privacy Policy, Cookie Policy and Acceptable Use Policy, are the entire agreement between you and us about the Site. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. We may update these Terms by posting a revised version here; continued use after the effective date means you accept the changes.

Questions about these Terms can be sent to legal@ninjazgroup.com.
